Terms of Service

These Terms of Service (“Terms”) govern your access to and use of VaidyaOne Health Technologies Pvt. Ltd.'s electronic health record (EHR) SaaS platform and related services.

Plain-English summary: By using VaidyaOne, you (the clinic or healthcare provider) agree to these terms. You own your patient data — we process it on your behalf. We are an ABDM-compliant processor, not a healthcare provider. You are responsible for clinical decisions and regulatory compliance within your practice.

1. Acceptance of Terms

By creating an account, clicking “I Agree,” or using any part of the VaidyaOne platform, you (“Subscriber” or “You”) agree to be bound by these Terms, our Privacy Policy, and our Refund Policy, which are incorporated herein by reference.

If you are entering into these Terms on behalf of an organisation (a clinic, hospital, or healthcare group), you represent that you have the authority to bind that organisation to these Terms. If you do not agree, do not use VaidyaOne.

These Terms constitute a legally binding agreement under the Indian Contract Act 1872 and applicable Indian IT law.

2. Service Description

VaidyaOne provides a cloud-based Electronic Health Record (EHR) and Practice Management SaaS platform designed for Indian clinics, hospitals, and multi-speciality centres. The platform includes:

  • OPD queue management and appointment scheduling
  • Digital patient records, consultation notes, and prescription management
  • Billing, invoicing, and GST-compliant receipt generation
  • Lab order management and result tracking
  • ABDM M1–M3 integration (ABHA creation, consent management, health record exchange)
  • Telemedicine (HD video consultations with integrated E-Rx)
  • SMS and WhatsApp appointment reminders (via Meta WhatsApp Business Platform)
  • Multi-doctor, multi-speciality, and multi-branch support
  • Patient-facing web portal and appointment booking widget
  • RESTful API access (Enterprise plan)

VaidyaOne is a technology platform only. We do not provide medical advice, diagnoses, or treatment. All clinical decisions remain solely with the licensed healthcare provider using the platform.

3. Account Registration & Responsibility

  • You must provide accurate, complete, and current information during registration, including valid NMC/MCI registration numbers for all doctors
  • You are responsible for maintaining the confidentiality of all account credentials (usernames, passwords, API keys)
  • You must immediately notify VaidyaOne at hello@vaidyaone.in of any suspected unauthorised access to your account
  • You are responsible for all activity that occurs under your account, including activity by staff or third parties you authorise
  • Accounts may not be shared between individuals — each user must have their own login credentials
  • You must be at least 18 years old and legally capable of entering into contracts under Indian law
Important: You are responsible for maintaining appropriate data protection practices within your clinic and for staff training on appropriate use of patient data accessed through VaidyaOne.

4. Subscription & Payment Terms

4.1 Plans & Billing

  • Subscriptions are billed monthly or annually, in Indian Rupees (INR), exclusive of applicable GST
  • Monthly subscriptions renew automatically on the same calendar date each month
  • Annual subscriptions renew automatically on the anniversary of your subscription start date
  • Prices are subject to change with 30 days written notice to your registered email address

4.2 Free Trial

All paid plans include a 14-day free trial. No credit card is required to start the trial. At the end of the trial, you must provide payment details to continue using the service. Failure to do so will result in account suspension.

4.3 Payment Processing

Payments are processed via Razorpay (a PCI-DSS compliant payment gateway). VaidyaOne does not store credit or debit card information. GST at the applicable rate will be charged in addition to subscription fees.

4.4 Late Payment

If a payment fails, we will retry up to 3 times over 7 days and notify you by email. After 7 days of non-payment, your account may be suspended (read-only mode). After 30 days, the account may be terminated. See our Refund Policy for cancellation terms.

5. Data Ownership

You own your data. VaidyaOne does not claim any ownership over patient data or clinic data stored in the platform.
  • The Subscriber (clinic/hospital) is the Data Fiduciary under the DPDP Act 2023 and owns all patient data
  • VaidyaOne is a Data Processor — we process data only on the instructions of the Subscriber
  • We will not access, use, sell, or share your patient data except as directed by you or as required by law
  • Upon account termination, you have 30 days to export all your data in standard formats (JSON, PDF, FHIR R4)
  • After the 30-day export window, all patient data will be permanently deleted per our retention schedule (subject to mandatory legal retention requirements)
  • We will promptly notify you of any government or legal requests for your data

6. ABDM Compliance Responsibilities

Both VaidyaOne and the Subscriber have distinct responsibilities under the ABDM ecosystem:

VaidyaOne's responsibilities:

  • Maintaining ABDM HIP (Health Information Provider) certification
  • Implementing Fidelius encryption for all health record exchanges
  • Processing consent artefacts accurately and enforcing consent boundaries
  • Maintaining FHIR R4-compliant health information bundles
  • Timely notification of ABDM gateway API changes

Subscriber's responsibilities:

  • Obtaining valid patient consent before any ABHA linking or ABDM health record sharing
  • Ensuring doctors are NMC-registered before creating health records
  • Registering the clinic as a Health Facility on the ABDM portal (HFRID registration)
  • Accurate and complete data entry into the clinical records
  • Complying with NHA guidelines on health data access and sharing

7. Acceptable Use Policy

You agree not to use VaidyaOne to:

  • Access, store, or process patient data for purposes other than direct healthcare delivery
  • Create ABHA accounts or health records for patients without their explicit informed consent
  • Attempt to reverse-engineer, decompile, or extract source code from the platform
  • Use automated scrapers, bots, or scripts to bulk-extract patient data
  • Share account credentials with individuals outside your clinic organisation
  • Upload malicious code, viruses, or any material that could harm VaidyaOne systems or other users
  • Use the platform for any unlawful purpose, including fraudulent billing claims
  • Resell or sublicense VaidyaOne to third parties without written authorisation
  • Misrepresent your identity, credentials, or clinic registration status

Violation of this policy may result in immediate account termination without refund and may be reported to appropriate regulatory authorities.

8. Intellectual Property

VaidyaOne and its licensors own all intellectual property rights in the platform, including software, UI/UX designs, algorithms, documentation, and branding.

  • These Terms grant you a limited, non-exclusive, non-transferable license to access and use VaidyaOne during your subscription period
  • You may not copy, modify, distribute, sell, or create derivative works of any VaidyaOne software or content
  • All trademarks, logos, and service marks are the property of VaidyaOne Health Technologies Pvt. Ltd.
  • You grant VaidyaOne a limited license to process your data solely for the purpose of providing the service
  • We may use de-identified, aggregated usage data to improve the platform and publish industry benchmarks

9. Limitation of Liability

Important legal notice. Please read this section carefully as it limits VaidyaOne's liability to you.

To the maximum extent permitted by applicable Indian law:

  • VaidyaOne is provided on an 'as is' and 'as available' basis without warranties of any kind, express or implied
  • VaidyaOne shall not be liable for any clinical decisions made by healthcare providers using the platform — all medical decisions are solely the responsibility of the treating physician
  • Our total aggregate liability to you for any claims arising under these Terms shall not exceed the total subscription fees paid by you in the 12 months preceding the claim
  • VaidyaOne shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of revenue, data loss, or business interruption
  • VaidyaOne shall not be liable for outages caused by third-party services (ABDM gateway, Razorpay, Meta WhatsApp Business Platform, OVH infrastructure) or force majeure events
  • You are solely responsible for maintaining your own backups and data exports during the subscription period

Nothing in this section limits VaidyaOne's liability for fraud, willful misconduct, or death/personal injury caused by our negligence.

10. Termination

10.1 Termination by You

You may cancel your subscription at any time from the Settings › Subscription page. Cancellation takes effect at the end of the current billing period. See our Refund Policy for details on pro-rata refunds.

10.2 Termination by VaidyaOne

  • With 30 days notice for any reason, with a pro-rata refund for unused subscription time
  • Immediately, without notice or refund, for material breach of these Terms (including Acceptable Use violations or fraudulent activity)
  • Immediately, without notice, if required by law or government authority

10.3 Effect of Termination

  • Your access to the platform will be suspended immediately upon termination
  • You have 30 days from termination to export all your data
  • After 30 days, all data will be permanently deleted per our privacy policy and data retention schedule
  • Provisions that by their nature survive termination (data ownership, indemnification, limitation of liability, dispute resolution) will remain in effect

11. Dispute Resolution

These Terms are governed by the laws of the Republic of India. In the event of any dispute:

  • Both parties agree to first attempt resolution through good-faith negotiation for 30 days
  • If negotiation fails, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act 1996 (India)
  • Arbitration shall be conducted in Hyderabad, Telangana, in the English language, by a sole arbitrator agreed upon by both parties
  • The courts in Hyderabad, Telangana, India shall have exclusive jurisdiction for any matter not subject to arbitration
  • Nothing prevents either party from seeking urgent interim relief from competent courts pending arbitration

12. Force Majeure

VaidyaOne shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including:

  • Natural disasters, earthquakes, floods, or severe weather
  • War, terrorism, civil unrest, or government actions
  • Pandemic or epidemic events
  • Internet infrastructure failures, DNS attacks, or major cloud provider outages
  • ABDM gateway downtime or NHA system failures
  • Power outages or communication network failures

In such events, we will notify you promptly and resume services as soon as reasonably practicable.

13. Modifications to Terms

VaidyaOne reserves the right to modify these Terms at any time. When we make material changes:

  • We will provide at least 30 days notice via email to your registered address
  • We will display a prominent notice within the platform
  • Continued use after the effective date constitutes acceptance of the revised Terms
  • If you do not agree to the changes, you may terminate your subscription before the effective date and receive a pro-rata refund

For minor changes (typos, clarifications, non-material changes), we may update without notice, but will always update the “Last updated” date at the top of this document.
